Disclosed are a modified Y-type molecular sieve containing magnesium, a preparation method therefor, and a catalyst containing the modified Y-type molecular sieve. In the modified Y-type molecular sieve, the content of oxidized rare earth is about 4% to 10% by weight, the content of magnesium oxide is about 0.1% to 4% by weight, the content of sodium oxide is about 0.3% to 0.8% by weight, the total pore volume is about 0.33 mL/g to 0.39 mL/g, the pore volume of secondary pores the pore size of which is 2 nm-100 nm occupies for about 10% to 30% of the total pore volume in the modified Y-type molecular sieve, the cell constant is about 2.440 nm to 2.455 nm, the content of the non-skeleton aluminum in the modified Y-type molecular sieve is not higher than about 20%, and the lattice collapse temperature is not lower than about 1045ºC. The modified Y-type molecular sieve can be used for preparing a catalytic cracking catalyst. When the modified Y-type molecular sieve is used in heavy oil catalytic cracking, the modified Y-type molecular sieve has a higher heavy oil conversion activity and a lower coke selectivity, and has a higher gasoline yield, a higher liquefied gas yield, a higher light oil yield and a higher total liquid yield.
