The present invention relates to a catalyst composition which comprises a rare earth metal compound, an alkylating agent, a halogen compound, and a functionalizing agent represented by chemical formula 1 of (X_1)_a-M_1-([Y-M_2-(X_2)_n-1])_m-a, shows excellent catalytic activity and polymerization reactivity, and is useful for preparing a conjugated diene polymer having high linearity and excellent processability. The present invention also relates to a conjugated diene polymer prepared by using the catalyst composition.
