PROBLEM TO BE SOLVED : To provide a modified conjugated diene polymer using a modifier of a pyrimidine derivative, and a catalyst relatively easy to handle, and a rubber composition containing the same, which have excellent wear resistance and fuel economy. SOLUTION : This invention relates to a modified conjugated diene polymer that is obtained by modifying a conjugated diene polymer with (D) a pyrimidine derivative, the conjugated diene polymer obtained by polymerizing a conjugated diene compound with a catalyst obtained from (A) a rare earth metal compound, (B) an organic metal compound of an element selected from group 2, group 12, and group 13 in the periodic table, and (C) an ionic compound composed of a non-coordinating anion and cation.
